1. About Ledger

These Terms & Conditions (“Terms”) govern your use of Ledger, the Ledger website, and any Ledger software, license, setup materials, or related services provided by Voren (“Voren”, “we”, “us”, or “our”). By purchasing, installing, accessing, or using Ledger, you agree to these Terms. If you do not agree with them, do not purchase, install, or use Ledger.

Ledger is a software tool designed to help users manage and automate personalized Instagram outreach. Ledger allows users to prepare individual messages for individual Instagram leads and automate certain repetitive actions, such as sending messages, following accounts, and recording campaign activity. Ledger does not generate or choose messages on your behalf. You are responsible for the messages and campaign instructions you provide.

Ledger is an independent product and is not affiliated with, endorsed by, sponsored by, or officially connected with Meta Platforms, Inc. or Instagram.

2. Eligibility

You must be legally able to enter into these Terms and use the service under the laws applicable to you. You are responsible for ensuring that your use of Ledger complies with all laws, regulations, platform rules, and other requirements that apply to you.

3. License

When you purchase Ledger, you receive a limited, non-exclusive, non-transferable license to use the software for your own outreach activities, subject to these Terms.

• One license covers one Instagram account.
• A license does not grant ownership of the Ledger software.
• You may not resell, sublicense, redistribute, or commercially share your Ledger license.
• You may not provide your license or access credentials to another person for their use.
• You may not copy, modify, reverse engineer, decompile, or attempt to extract the source code of Ledger except where such restrictions are prohibited by applicable law.

We may provide updates, fixes, or changes to Ledger from time to time.

4. Account and Instagram Use

Ledger operates with an Instagram account that is already logged into your browser. You are responsible for the Instagram account you use with Ledger, including maintaining access, keeping credentials secure, following Instagram’s applicable rules and policies, ensuring that your outreach activity is lawful and appropriate, and deciding which accounts to contact and what messages to send.

Ledger does not require you to provide your Instagram password to Voren.

5. Instagram Platform Risk

Ledger operates outside Instagram’s official API for certain automated account activities. Automated activity and unsolicited outreach may be restricted or prohibited by Instagram’s terms, policies, or enforcement systems. Using Ledger may therefore carry a risk of warnings, restrictions, reduced functionality, temporary suspension, or other action against your Instagram account.

You acknowledge and accept this risk when choosing to use Ledger. Voren does not guarantee that your Instagram account will remain unrestricted, active, or in good standing while using Ledger.

6. Your Messages and Campaigns

You are responsible for the content you enter into Ledger and the campaigns you run. This includes Instagram handles and lead information, messages, campaign frequency and timing, accounts contacted, and compliance with applicable privacy, marketing, anti-spam, and other laws.

You must not use Ledger to send unlawful, fraudulent, threatening, abusive, deceptive, or otherwise prohibited content. You are responsible for ensuring that you have any permissions, rights, or lawful basis required to use information about the people you contact.

7. No Guarantee of Results

Ledger is a software tool, not a guarantee of business or marketing results. We do not guarantee a particular response rate, follow-back rate, sales, leads, customers, appointments, revenue, delivery rate, campaign completion rate, continued Instagram compatibility, or avoidance of restrictions.

Results depend on factors outside our control, including your messages, offer, targeting, account history, Instagram’s systems, and the behavior of people you contact.

8. Software Changes and Reliability

Ledger is designed to handle certain routine changes to Instagram’s interface by locating the elements it uses. However, this does not guarantee compatibility with every future change. A major change to Instagram’s messaging system, a new verification requirement, an account-specific restriction, or a significant structural change may cause some or all Ledger functionality to stop working until an update is available.

Voren may release updates when reasonably necessary, but does not guarantee a specific update time.

9. Payment and Pricing

Ledger is sold as a one-time license unless a different pricing arrangement is clearly stated at the time of purchase. The price displayed at checkout is the amount you are asked to pay for the applicable license. Payments may be processed through third-party payment providers. You agree to provide accurate payment and contact information when making a purchase.

10. Delivery

After successful payment, Ledger and/or the relevant installation and setup instructions will be delivered to the email address provided during checkout, unless another delivery method is stated at the time of purchase. You are responsible for providing a valid email address and ensuring that you can receive the delivery email. If you do not receive your purchase or setup instructions, contact ledger.autodm@gmail.com.

11. Refunds

Refunds are handled according to our Refund Policy, which forms part of these Terms. Before purchasing, you should review the Refund Policy to understand the circumstances in which a refund may be available. Nothing in these Terms limits any consumer rights that cannot legally be excluded or restricted under applicable law.

12. Support

We provide reasonable support for Ledger through ledger.autodm@gmail.com. Support may include assistance with installation, setup, configuration, and troubleshooting. Support does not include managing your Instagram account, responding to your leads, creating your outreach strategy, or guaranteeing campaign results.

13. Intellectual Property

Ledger, including its software, interface, branding, documentation, website content, and related materials, is owned by or licensed to Voren and is protected by applicable intellectual property laws. Purchasing a license gives you the right to use Ledger as permitted by these Terms. It does not transfer ownership of the software or its intellectual property to you.

14. Prohibited Use

You may not use Ledger to conduct unlawful activity, send fraudulent or deceptive communications, impersonate another person or business, distribute malware, violate another person’s rights, violate applicable privacy or anti-spam laws, circumvent security measures, attempt unauthorized access, or resell or redistribute Ledger.

We may suspend or terminate a license where we reasonably believe it is being used in violation of these Terms or in a way that creates legal, security, or operational risk.

15. Third-Party Services

Ledger may interact with third-party services, including Instagram and payment providers. Those services are operated independently of Voren and may have their own terms, policies, technical requirements, and availability. Voren is not responsible for changes, outages, restrictions, or decisions made by third-party services.

16. Availability

We aim to keep Ledger and related services available, but we do not guarantee uninterrupted or error-free operation. Ledger may become temporarily unavailable because of maintenance, software updates, third-party changes, technical problems, or circumstances outside our reasonable control.

17. Disclaimer of Warranties

To the extent permitted by applicable law, Ledger is provided on an “as available” basis without guarantees that it will meet every user’s particular requirements or operate without interruption or errors. We do not guarantee that Ledger will remain compatible with Instagram or any other third-party service indefinitely. Nothing in these Terms excludes a warranty, right, or protection that cannot legally be excluded under applicable law.

18. Limitation of Liability

To the extent permitted by applicable law, Voren will not be responsible for indirect, incidental, special, consequential, or loss-of-profit damages arising from your use of, or inability to use, Ledger. This includes losses arising from third-party platform actions, including Instagram account restrictions, suspensions, changes, or loss of functionality. Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

19. Changes to These Terms

We may update these Terms from time to time. When we make changes, we will update the “Last updated” date at the top of this page. Your continued use of Ledger after an updated version becomes effective constitutes acceptance of the revised Terms, to the extent permitted by applicable law.

20. Termination

You may stop using Ledger at any time. We may suspend or terminate your license if you materially violate these Terms, misuse Ledger, engage in unlawful activity, or create a significant security, legal, or operational risk. Termination does not remove obligations that by their nature should continue after termination, including provisions relating to intellectual property, liability, and disputes.

21. Governing Law

These Terms are governed by the applicable laws of Nigeria, without prejudice to any mandatory consumer protection rights or other legal protections that apply to you under applicable law.
